Unlike typical brokers who simply match "inbound deals," our hallmark is the "Finder" service — proactively uncovering targets aligned with your strategy. Providing financial/tax DD and PMI one-stop is another major differentiator from brokerage firms.

How long and at what cost does a target search take?
Two plans are available: the Screening Plan (no upfront fee, approx. 10 companies) and the Full Search Plan (comprehensive, approx. 100 companies). Timelines depend on complexity, but typically 3–6 weeks to list creation, and 2–4 months through initial contact and meetings. Quotes are provided after the initial interview — please contact us to begin.

What are the top risks to watch for in Vietnam M&A?
The five most frequent risks in Vietnam M&A are: (1) gaps between VAS and economic reality (under-provisioning, unrecognized costs, etc.); (2) tax risks (VAT refund, transfer pricing, FCT, deduction disallowances from contract deficiencies); (3) labor risks (unpaid overtime, missing social insurance); (4) real estate and land-use-right ownership; and (5) license transferability. Our team focuses on these points during financial/tax DD to identify deal breakers early.

In Vietnam, is share transfer or asset transfer more common?
It varies case by case, but share (equity) transfers are generally more common, as licenses, counterparty contracts, and employment relationships carry over directly. When off-balance-sheet liabilities or tax risks are a concern, asset (business) transfers may be selected. However, asset transfers require cumbersome individual-asset transfer procedures under Vietnamese law, and generate transaction costs including VAT and stamp duty. Our team recommends the optimal scheme based on DD findings and risk assessment.

Which valuation methods do you use?
We combine multiple approaches — DCF, comparable company analysis (multiples), and net asset — tailored to the target's industry, size, and business stage. Because Vietnamese VAS statements often diverge significantly from economic reality, we pay particular attention to normalized EBITDA analysis. Post-acquisition intangible asset valuation for PPA is also handled seamlessly by our team.

Can you also support divestiture or exit from Vietnam?
Yes — we also support the sell-side. GGA is the only Japanese-affiliated firm with a dedicated sell-side unit in Singapore, with 20+ closings supporting local companies' divestiture to Japanese and non-Japanese buyers. When a sale is not feasible, AGS handles liquidation procedures on the ground (tax clearance, staff exit, asset disposal). Exit strategy is a race against time — we recommend consulting early.

We provide end-to-end PMI support in the finance / accounting domain: harmonizing accounting policies, establishing authority rules and workflows, building monthly/quarterly/annual reporting packages, designing chart of accounts and management ledgers with consolidation in mind, PPA, and reporting architecture to the Japanese parent. In addition, GPC's IT specialists support system integration (e.g., ERP implementation).
